Overview
I am a Director of Corporate Services in Michelmores’ Corporate team.
I qualified as a CILEx Lawyer and Fellow of the Chartered Institute of Legal Executives (CILEx) in 2015. I am also a Corporate Governance (CG) Affiliated Member of The Chartered Governance Institute UK & Ireland.
I specialise in company law, governance and company secretarial practice. I deal primarily with formation and administration of companies, assisting in corporate governance and statutory compliance. I advise on directors’ statutory duties and responsibilities, assist with the organisation of board affairs and shareholders’ affairs; I also provide updates and advice in respect of key changes to company law made by the Companies Act 2006.
I frequently undertake company formation for businesses setting up in the UK, including transactions with an international element.
I manage a busy company secretarial team which looks after the statutory compliance of circa 500 companies. My clients operate in diverse sectors and cover group companies, start-ups/scale-up companies, multi-academy trusts, property management companies, membership or trading associations, community interest companies, etc.
I particularly relish supporting my clients in an advisory role as their trusted company secretary, providing support to the Chairman, CEO, CFO or other directors, and being at the heart of governance operations of the organisation – helping them achieve their aims and ensuring that the activities undertaken by the company comply with legal, ethical and regulatory requirements.
I’ve been part of the Michelmores’ Corporate team since 2009 and have had experience in company secretarial practice since 2007.
Recent experience
Acting as a company secretary for a London based not-for-profit organisation which includes personal attendance at quarterly board of directors’ meetings and managing the company’s general meetings
Assistance with the review and rectification of the statutory registers of a family-run private company in preparation for the sale of their business
Advising and assisting a property owner with the restoration of a dissolved management company via the administrative restoration route
Advising the board of directors of a property management company relating to governance matters, and preparing a memorandum of the company’s structure, processes relating to directors’ decision-making, members’ resolutions or decision-making, rights of members, authority, powers and statutory duties of directors
Assisting with the restructuring of a group of UK companies by way of acquisition of shares between two affiliated companies both registered in the Netherlands
