Anne Todd


Anne is a partner in the Commercial team and leads the Technology & Innovation practice in the London office. Anne joined Michelmores from Macfarlanes in 2022.   
She has an LLM in Technology and Telecommunications Law from Queen Mary, University of London and over 25 years' experience advising clients in the technology, telecoms, data and digital infrastructure sectors. She gained considerable insight and experience working as an in-house lawyer at a range of companies from SMEs through to major multinationals including BT, Vodafone and Balfour Beatty. She was General Counsel and co-founder of a fast-growth telecoms company where she advised on all commercial and regulatory legal matters relating to the building of its network and launch of operations in Europe and the United States. She also led the legal team through a management buy-out backed by Soros Private Equity. 
Anne has expertise in drafting and negotiating a very wide range of agreements with a technology component including outsourcing, procurement, software licensing, app development, SaaS, data centre services and the commercial exploitation of intellectual property and data. She advises clients on GDPR compliance and in connection with data breaches.
In addition to her technology and telecoms experience, during her career Anne has gained experience both as an external legal advisor and in-house advisor in the energy, retail and leisure, and financial services sectors, including as General Counsel of Sodexo UK. She has expertise in advising on a wide range of complex commercial agreements in these sectors including franchise agreements, hotel operating agreements, outsourced services agreements, facilities management agreements, fuel supply agreements and customer terms and conditions. She has also advised central government in connection with national outsourcing agreements.
Anne is a member of the Society for Computers and Law AI Committee and the Legal Committee of OpenUK, an organisation that educates on the use of open source software, data and technology and she has a particular interest in the sustainable economy and ESG.
Outside of work, she is a non-exec director of Uryadi's Village, a non-profit organisation supporting vulnerable children in Ethiopia.

Recent Experience

  • Advising a major UK financial services institution on its retail services digital proposition and various matters related to the operation of its digital estate. 
  • Advising an international energy supplier on a SaaS agreement with the provider of its trading platform, the refresh of key IT services agreements and data protection requirements. Also advising them on fuel supply agreements with key wholesale and infrastructure customers and developing new suite of standard agreements for the supply of fuel.
  • Advising a financial services client on its response to a cyber breach and its requirements to make notifications to ICO / FCA and affected persons.
  • Advising an information services provider on an international software development outsourcing agreement and UK GDPR requirements for international transfer of data.
  • Advising a 5* hotel owner on an operation and management agreement with a major hotel operating chain along with the associated IT services agreement to support the booking and accounts systems. Also advising on various restaurant franchise agreements to be located within the hotel.
